By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

Our services involve submitting removal requests to third-party platforms based on their published content policies and terms of service. We do not have direct control over these platforms' decisions, and removal outcomes are ultimately at the discretion of the platform operators.

Unless otherwise specified in a written agreement, our services operate on a success-based pricing model:
Fees for review removal services will be quoted to the Client prior to engagement and documented in a separate service agreement. Fees may vary based on the complexity of the case, the platform involved, and the number of reviews to be addressed.
Certain services, including ongoing monitoring, crisis management, and consulting services, may be billed on a retainer or hourly basis as specified in the applicable service agreement.

We reserve the right to decline or terminate services for any Client who requests that we engage in unethical or illegal practices.
Both parties agree to maintain the confidentiality of information exchanged during the course of our engagement:
All intellectual property rights in our services, methods, processes, reports, and deliverables remain the property of Codex Reputation LLC. Client is granted a limited, non-exclusive license to use deliverables provided as part of our services for their internal business purposes only.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
Client agrees to indemnify, defend, and hold harmless Codex Reputation LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Client's breach of these Terms; (b) Client's violation of any applicable law or regulation; (c) any false or misleading information provided by Client; or (d) any claims by third parties related to Client's business or the reviews at issue.
These Terms are effective upon Client's acceptance and remain in effect until all services are completed or terminated in accordance with this section.
Either party may terminate the service relationship at any time with thirty (30) days written notice. Client remains responsible for payment of fees for any reviews successfully removed prior to the effective date of termination.
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice of the breach.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Client agrees that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Client waives any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with any service agreements executed between the parties, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last updated" date. Continued use of our services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Client may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
Neither party shall be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
